Any GIIV software that is made available to download from this Website or other GIIV applications ("Software") is the copyrighted work of GIIV and/or its affiliates or suppliers. The Software is made available for downloading solely for your use pursuant to the end user license agreement ("EULA") applicable to the Software, and any reproduction or redistribution of the Software other than as permitted in the EULA is expressly prohibited by law, and may result in severe civil and criminal penalties. Violators will be prosecuted to the maximum extent possible. In addition, downloading Software is prohibited if you are visiting this Website from any of the countries to which the export of software is prohibited by the U.S. Department of Commerce. GIIV and you agree that all disputes arising under these Terms of Use shall be resolved by confidential binding arbitration administered by the American Arbitration Association ("AAA") in Los Angeles, California, or another forum mutually agreed upon by you and GIIV, pursuant to the Commercial Arbitration Rules ("Rules") of the AAA by a sole arbitrator nominated by agreement of you and GIIV and confirmed in accordance with the Rules. If AAA is not hearing consumer commercial disputes at the time, GIIV may select another arbitral body in its sole discretion. The arbitrator"s award shall be binding and may be entered as a judgment in a court of competent jurisdiction. You agree that GIIV is entitled to obtain preliminary injunctive relief to the extent allowed by law to enforce any of the terms of these Terms of Use pending a final arbitral decision.

Modification of Terms of Use, Etc. These Terms of Use and the Privacy Policy referenced herein constitute the complete agreement between you and GIIV with respect to their subject matter and supersede any prior agreement or communication. These Terms of Use are subject to change from time to time. GIIV will endeavor to post a notice of any changes to these Terms of Use for a period of thirty (30) days following any such modifications. Therefore, you are advised to review these Terms of Use occasionally, or at least every thirty (30) days. Your continued use of this Website subsequent to GIIV"s notice of modification of these Terms of Use shall constitute your acceptance of the modified Terms of Use. Terms of Sale of Gifts
As part of the services offered on this Website, you may be allowed to purchase electronic gift codes that are displayed on this Website, which are issued by third party merchants of products or services ("Merchants") and managed by GIIV ("Gifts"), which are redeemable for such Merchants" products or services ("Products or Services"), to be sent to a third party recipient of your designation ("Recipient").

Account
You are not required to create an account in order to purchase Gifts. However, you must create an account if you wish for us to provide you with easy access to view past purchased Gifts, modify your preferences, and check the status of redemption of your Gift. You may terminate your account at any time by sending an email message to info@giiv.com. Upon termination of your account for any reason, GIIV may delete your archived data at any time, to the extent allowed by law.

Gift Purchase
By purchasing Gifts, you make an offer to us to purchase the Gifts you have selected on the terms and conditions stated in these Terms of Use, and subject to any limitation stated in the description of the Gift. Gifts may be purchased online using your credit or debit card, or a promotional code, if applicable. You agree to pay all fees and charges incurred through your purchase of Gifts at the time of purchase and at the fees in effect at the time of purchase. GIIV does not provide refunds or credits if the cost of Gifts previously purchased by you is lowered or is part of a promotional offer. All amounts paid for Gifts are non-refundable to the extent allowed by law. You may not use any automated program or script to automate the process of purchasing Gifts. GIIV reserves the right to limit, in its sole discretion and without prior notice to you, the number of Gifts that you may send, the number or identity of Recipients to which you send Gifts, the number of Gifts a Recipient may receive, and the value of Gifts purchased. If, in GIIV's sole determination, you violate these Terms of Use, GIIV may block you from purchasing Gifts or using any or all of the services available on this Website, and terminate your account. GIIV will have the right to terminate your account and request alternative forms of payment if a fraudulently obtained Gift is redeemed and/or used to obtain Products or Services. When you purchase Gifts, you agree that the laws of the State of California, without regard to principles of conflict of laws, will govern the Gifts terms and conditions. By purchasing Gifts from this Website, you represent to us that you are legally permitted to enter into a binding contract (18 years of age or older in most jurisdictions) or, if you are under the legal age of consent, you have the express permission from your parent or guardian. We require that all Gift purchases be made either (i) by individuals who are not minors and who can legally enter into binding contracts (typically persons 18 years of age or older, depending on where you live), or (ii) by minors with the permission of a parent or guardian to purchase Gifts on the Website. Prices and availability of Gifts on this Website are subject to change without notice. Errors will be corrected when discovered. On occasion, the Products or Services may no longer be available from the Merchant after the Gift purchase is made. In such case, with your consent and/or the Recipient"s consent, we may replace the Gift with another reasonably similar Gift of equal value as determined by GIIV, unless otherwise indicated, in accordance with these Terms of Use.

Gift Delivery
The Gift that you purchase will be delivered to the Recipient's mobile device via SMS or MMS text message ("Text Message"), along with the message that you input when you purchase the Gift, subject to any space and word limitations. You agree and acknowledge that the Text Message shall be sent from GIIV and shall contain information identifying GIIV for the Recipient"s use in seeking customer support. You give GIIV your permission to use in the Text Message your name and the message that you input when you purchase the Gift. In order for the Recipient to receive the Text Message, and the Gift, the Recipient must have a mobile communications subscription with a participating carrier, and functioning equipment to receive the Text Message, and pay any service fees associated with the Text Message. For the avoidance of doubt, GIIV is not responsible for any such fees associated with receiving the Text Message.

Gift Redemption
Gifts must be redeemed in accordance with the instructions in the Text Message. The value of Gifts cannot be accessed as cash or transferred as cash. Gifts are non-refundable and cannot be returned, resold, transferred for value, redeemed for cash or applied to any other account or transaction, except to the extent required by law or otherwise permitted, if at all, by this Website. Gifts can only be redeemed for the applicable Products or Services, and cannot be used to purchase other items, except as otherwise provided in these Terms of Use. Expiration dates of Gifts, if any, do not apply in any state solely to the extent as prohibited or limited by law. No fees or services charges will be applied to Gifts between the time a Gift is purchased and redeemed for Products or Services. GIIV may provide Gift purchasers with information about the redemption status of Gifts. The risk of loss and title for Gifts pass to you upon our electronic transmission of the Gift to the Recipient. We are not responsible if you enter the incorrect information for Recipient, causing us to send the Text Message to an unintended third party, or if the Gift is redeemed for the applicable Products or Services by an unauthorized third party once it is delivered to the Recipient. In the event that a Recipient"s mobile device is lost or stolen, or the Recipient otherwise loses or deletes a Gift, a Recipient may obtain a new Gift provided that the Recipient registers with GIIV at www.giiv.com, and provided that the Gift has not already been redeemed at the time GIIV is notified of the loss. Although GIIV will strive to provide Recipient with a new Gift as soon as possible if the foregoing conditions are met, the time for receiving such new Gift may be subject to certain administrative time constraints. You acknowledge that GIIV only manages the Gifts, and that Merchants other than GIIV actually provide the Products or Services for which Gifts may be redeemed. GIIV is not responsible for examining or evaluating such Products or Services, and does not assume any responsibility or liability for such Products or Services. As indicated above, you understand and acknowledge that access to the Website may be interrupted from time to time. Similarly, it is possible that GIIV's technical systems, or the Merchants' technical systems, may be interrupted from time to time. In the event of such interruption, Recipient may be unable to redeem his or her Gift during that time. You agree that GIIV is not responsible for such interruption, and GIIV makes no warranty of the availability of such technical systems.
